- Invoicing: Invoices will be issued upon completion of services. Payments are due within 15 days from the date of the invoice.
- No Refund Policy: All payments are final. We do not offer refunds for services rendered. You acknowledge that you are responsible for all fees associated with the services provided.
- Service Suspension: If payments are not made within 15 days from the due date, Byclarity Technology and Consulting Private Limited reserves the right to pause all services until the outstanding payment is cleared. Services will resume promptly upon receipt of the overdue payment.
3. Client Responsibilities
- Accurate Information: You agree to provide accurate, complete, and timely information necessary for us to perform the services effectively.
- Approval of Work: You are responsible for reviewing and approving project milestones and deliverables. Delays in feedback or approval may impact project timelines.
- Compliance with Laws: You agree that any materials you provide to us for use in the project comply with all applicable laws and regulations, including those relevant to your jurisdiction.
4. Intellectual Property
- Ownership of Deliverables: Upon receipt of full payment for services rendered, you will own the final deliverables (e.g., website, marketing materials).
- Licence to Use Materials: We retain the right to use any work created for promotional purposes, including showcasing our portfolio, unless otherwise agreed in writing.
- Third-Party Materials: Any third-party materials (e.g., images, plugins) used in the project may be subject to licensing fees and restrictions. We will inform you of any such costs prior to using third-party materials.
5. Confidentiality
- Definition of Confidential Information: Both parties agree to keep any information designated as confidential or proprietary that is exchanged during the course of the project private.
- Exclusions: Confidential information does not include information that is publicly available or independently developed by the receiving party.
- Duration of Confidentiality: The obligation to maintain confidentiality shall survive the termination of this agreement.
6. Limitation of Liability
- Exclusion of Damages: To the fullest extent permitted by law, in no event shall we be liable for any indirect, incidental, special, or consequential damages, including loss of profits, arising out of or in connection with your use of our services.
- Maximum Liability: Our maximum liability for any claims arising from our services shall not exceed the total amount paid by you for the specific service related to the claim.
7. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be resolved in the competent courts located in Chennai, India.
8. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Any changes will be posted on our website, and your continued use of our services following the posting of any changes constitutes your acceptance of the new Terms.
9. Severability
